1.1.1We are Wishew Ltd ("we", "us" or "Wishew"), and we are very pleased to welcome you to "Wishew", the social network that we have developed, operate and maintain.

1.1.2 Wishew is the first social network in the world designed to help you make friends and connect with people from every corner of the globe based on shared wishes, passions, and interests.

These Terms and Conditions of Use ("Terms") describe the rights and responsibilities that apply to a User ("you" or "your") and which govern your access to and use of the Platform (defined below), including your access to and use of all services and content available on www.wishew.com, the Wishew mobile app, and related technologies (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to any of the provisions of these Terms, you should not use the Platform.

These Terms may be updated periodically. Changes will become effective upon publication. It is your responsibility to regularly review these Terms for updates.

Your use of Wishew is also subject to our Privacy Policy, which outlines how we collect and use your information.

• "Account" means an account set up by a User on the Platform.
• "Content" means text, images, videos, audio, and all other forms of media published by Creators on the Platform and includes, for the avoidance of doubt all Wishes.
• "Contribution" means financial support provided voluntarily by a Contributor to a Creator, in the form of monetary contributions.
• "Contributor" means a User who financially supports one or more Creators through monetary contributions.
• "Creator" means a User who creates and publishes Content which is made available for support from other Users.
• "Data Protection Legislation" means applicable laws relating to the use and protection of personal data, and/or to privacy, including the privacy of electronic communications, which are applicable to the Company or any of its subsidiaries (or any part of their business), including, without limitation, the GDPR, Directive 2002/58/EC, UK Data Protection Act 2018 and any legislation and/or regulation implementing or made pursuant to them, or which amends, replaces, re-enacts or consolidates any of them and including where applicable the guidance and code of practice issued by the European Data Protection Board and other supervisory authorities.
• "data subject", "personal data", "personal data breach" and "process" have the meaning given in the Data Protection Legislation.
• "GDPR" means in each case to the extent applicable to data processing activities: (i) Regulation (EU) 2016/679; and (ii) UK GDPR.
• "Intellectual Property Rights" means patents, utility models, rights to Inventions, copyright and neighbouring and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
• "Personal Data" has the meaning given to it in the Data Protection Legislation.
• "Platform" has the meaning given to it in Section 1.2 above.
• "UK GDPR" means Regulation (EU) 2016/679 as applicable as part of UK domestic law by virtue of section 3 of the European Union (Withdrawal) Act 2018 and as amended by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (as amended).
• "User" means anyone who registers for and/or accesses the Platform, either as a Creator, Contributor, or both.
• "Wish" or "Wishes" means a specific type of Content published by a Creator explicitly aimed at seeking financial support or moral encouragement (likes, comments) from the community.

Wishew allows Users to:

• create an Account;
• publish Wishes, comments or other posts on the Platform;
• interact with other Users through likes, comments, and shares; and
• financially contribute to other Users in support of their Wishes.

Access to the Platform is free, though some features may require payment or involve fees (see Section 7).

Users are free to choose whether, if at all, to make a Contribution and how much any such Contribution is.

• When you create an Account, you must provide accurate and truthful information in good faith and agree to keep your information updated if it changes.

• To create an Account, or otherwise use or access the Platform, you must be both: (i) at least 16 years old; and (ii) old enough to consent to the processing of your Personal Data according to the laws of your country (in some countries, we may permit your parent or guardian to provide consent on your behalf).

• You must be at least 18 years old, or have explicit permission from your parent or legal guardian, to make a Contribution, or to withdraw funds from the Platform.

• You are solely responsible for all activities that occur through your Account and for maintaining the confidentiality and security of your Account credentials. You must notify us immediately if you suspect your account security has been compromised.

• You may close your Account at any time. Wishew reserves the right to suspend or close the Accounts of Users that either violate these Terms or whose behaviour and/or Content are deemed inappropriate, at the sole and absolute discretion of Wishew.

Users may publish Posts and Wishes, provided they adhere to Platform rules.

Users may not publish Wishes, Posts, or perform actions on the Platform that include or promote:

• Illegal or fraudulent content, including scams and pyramid schemes.
• Dangerous or harmful activities, such as the sale of weapons, drugs, or counterfeit products.
• Sexually explicit or pornographic content.
• Promotion of hate, violence, or discrimination against any individual or group.
• Fundraising for political activities or ideological extremism.
• Requests for money for personal debts.
• Misuse of the Platform to evade taxes or launder money.

Additionally, the following activities are strictly prohibited:

• Using bots, automated software, or scripts to interact with the Platform, including systems designed to artificially increase visibility, interactions, or traffic.
• Scraping and extracting data from Wishew through automated or manual tools without explicit authorization.
• Creating and managing multiple Accounts to circumvent restrictions, simulate non-genuine activities, or alter Platform operations.
• Attempting to compromise the Platform's security, including hacking, unauthorized access, vulnerability testing, or any action intended to harm Wishew and its affiliates.

Wishew and its affiliates reserve the right to suspend or remove any Content and take action against Users who violate these provisions, including account suspension and, if necessary, legal action.

Wishew allows Users to express Wishes aimed at enhancing their quality of life, excluding fundamental survival needs. Users may therefore publish Wishes related to:

• Personal and growth experiences (travel, courses, events, cultural or recreational activities).
• Aspirational products and valuable goods (creative tools, desired objects, hobby accessories).
• Development of personal or professional projects (content creation equipment, startup support, creative investments).
• Wellbeing and lifestyle (gym memberships, beauty treatments, lifestyle improvements).

Although Wishew deeply cares about these types of wishes, it currently does not have the necessary permissions/authorizations to facilitate, support and/or otherwise be involved or associated with fundraising related to fundamental survival needs. Therefore, it is not possible to publish Wishes from Users that are related to such needs, including without limitation:

• Medical expenses or essential healthcare treatments (surgery, life-saving treatments, medical devices).
• Support for primary needs (homeless shelter, food, rent, and utility payments).
• Fundraising for humanitarian emergencies or natural disasters (although please see below for the possibility of supporting such causes through accredited foundations and organisations).
• Requests for money related to severe economic hardships (debts, bankruptcies, emergency legal expenses).

Wishew employs advanced artificial intelligence systems alongside an internal review team to identify and block all Wishes related to unsupported causes.

Wishew is able to facilitate the publication of Wishes related to humanitarian causes, but exclusively by accredited and recognized foundations and organizations (see Section 5.5 below).

Wishew further encourages Users interested in supporting these causes to utilize specialized, regulated platforms licensed to operate in these domains.

While individual Users cannot publish Wishes in support of charitable or emergency causes, Wishew hosts and supports accredited philanthropic and social organizations, particularly for:

• Long-term causes such as climate change, sustainability, and social innovation.
• Global impact projects related to education, research, and environmental protection.
• Recognized foundations and humanitarian causes.

Wishew does not retain any fees from accredited foundations and non-profit organizations. Only transaction fees imposed by financial gateways will apply.

By posting Content or Wishes on the Platform, you grant Wishew an unlimited, irrevocable, perpetual, non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, promote, and distribute such materials both within and outside the Platform. Wishew may display, publish, transmit, reformat, translate, store, and distribute the Content and Wishes across any channel, including social media, advertising campaigns, partner platforms, and promotional materials. Additionally, Wishew may modify, optimize, or combine Content and Wishes to integrate them into other projects such as documentaries, publications, events, or communication initiatives.

The User also grants Wishew the right to monetize Content and Wishes through partnerships, sponsorships, and commercial collaborations, including licensing to brands, companies, or media entities for promotional, advertising, or research purposes, without entitlement to compensation. This license includes the right to use the User's name, profile picture, company name, or personal brand, if provided, to credit the User when a Wish is promoted in Platform campaigns.

Wishew reserves the right to modify, reformat, move, or delete any Content or Wish if deemed necessary to ensure compliance with community guidelines or to enhance user experience. Although Wishew holds these rights, it claims no ownership of the Content and Wishes published by Users, who maintain full ownership and associated intellectual property rights. By accepting these Terms, the User waives any moral rights related to their Content and Wishes, agreeing that Wishew may use and modify them without prior approval or compensation.

Contributions on Wishew are voluntary, secure, and protected, representing a direct gesture of support to the User that published the Content and their Wish. Except for specific exceptions or as required by law, contributions are non-refundable. Each contribution expresses appreciation for the shared content and the Creator's project without implying an obligation for results or repayment.

Wishew is committed to ensuring transparency and security for contributions made on the platform. Since contributions are voluntary and represent direct support to the Creator and their Wish, they are not conditional payments dependent on the complete realization of the Wish. Contributors acknowledge their contributions as gestures of appreciation for the Wish or content shared, with the understanding that the Creator may not achieve the financial goal and may allocate funds to alternative personal experiences or projects of personal value. However, the Creator is obligated to update their Contributors regarding the utilization of received funds, whether the Wish is fully realized or only partially completed. These updates must be transparent and clearly explain how the funds have been utilized. If a Creator fails to update Contributors and does not provide information regarding the use of collected funds, Wishew reserves the right to take disciplinary actions, which may include prohibition from creating new Wishes on the Platform or suspension or banning of the Account in cases of repeated non-transparent or suspicious behaviour.

Refund requests cannot be accepted under the following circumstances:

• If the Refund request is submitted more than 180 days after the date of the Contribution.
• If the Creator independently utilized the funds in a personal manner compatible with Wishew's philosophy.
• If the Wish did not reach its financial goal, but the funds raised were still used for the User's personal experiences or purchases.
• If the Contributor donated to their own Wish.
• If the Contribution has already been subject to a chargeback or dispute through the payment method.
• If abusive, excessive (more than three requests in one month), or fraudulent requests are submitted.

To request a Refund, the Contributor must meet the following conditions:

• Still have possession of the original payment method used for the Contribution and be able to receive the Refund to the same payment source.
• Not in any way encouraged, participated in, or induced misuse or abuse of the Wish.
• Fully complete the Refund request form and provide all required information for evaluation.

By submitting a Refund request, the Contributor agrees to fully cooperate with Wishew in any related investigations, including those conducted by relevant authorities. Additionally, the Contributor must inform Wishew if they receive communications or funds from the Creator or the beneficiary of the Wish in question.

Wishew is committed to ensuring funds are directed to real, verified individuals. For this purpose, the Platform requires Creators to complete an identity verification process before withdrawing collected funds. If a withdrawal of collected funds is executed without full identity verification, Wishew will refund the Contributors and cancel the Contribution.

Users are responsible for providing accurate transaction information. Wishew is not liable for payment errors resulting from incorrect information provided by the User.

Wishew retains 10% of the funds withdrawn from each Wish (the "Fee") to ensure optimal Platform operation, invest in transaction security, continuously improve User experience, and implement advanced technologies that enhance Wishew's efficiency, accessibility, and innovation. The Fee enables us to provide a secure environment, enhance visibility tools for Wishes, and ensure every Contribution is handled with maximum transparency and reliability.

In addition to the Fee, third-party charges may apply, particularly:

• Currency conversion fees → If the withdrawal is conducted in a currency different from the one in which funds were raised, conversion costs are the User's responsibility.
• Bank or payment processing fees → Some banks or payment providers may apply additional fees for processing transactions. These fees remain the sole responsibility of the User.

Wishew does not add any surcharge on these transactions and has no control over any third-party fees.

Requests for withdrawal of funds collected through a Wish are generally processed within 3-7 business days. However, processing time may be extended in the following cases:

• Security verifications → If the system detects suspicious activity or requires further checks to ensure account protection.
• Regulatory checks → If mandated by local or international regulations regarding payment handling.
• Banking procedures → Certain financial institutions may require additional time to complete fund transfers.

Wishew is committed to processing payments promptly, adopting security measures to protect both Creators and Contributors.

To ensure the security of the Platform and User protection, Wishew reserves the right to block, suspend, or cancel a payment under the following circumstances:

• Suspicion of fraudulent activity or violation of Terms → If a payment or Wish shows signs of abuse, fraud, or behaviours not compliant with these Terms, the operation may be suspended pending verification.
• Chargeback request initiated through the payment method → If a Contributor initiates a dispute or chargeback through their financial institution or payment method, the associated amount may be blocked or refunded until resolution.
• Ongoing investigations regarding a User or a Wish → If an internal or external investigation concerning a Creator or Wish is ongoing, Wishew may temporarily suspend access to funds until the investigation concludes.

In the event of a blocked or reversed payment, Wishew will inform the involved User and, whenever possible, provide guidance on necessary actions to resolve the situation.

Wishew and its affiliates utilize certified third-party providers for transaction management and payment processing, including but not limited to PayPal, Stripe, Apple Pay, Google Pay, and traditional banking networks.

• Payment authorization and verification procedures.
• Refund and chargeback policies enforced by payment providers.
• Bank fees and currency conversion costs applied by such services.
• Temporary suspensions, limitations, or holds imposed by these platforms for security or regulatory compliance reasons.

The User is solely responsible for the proper management of their chosen payment method and agrees to resolve any transaction-related issues or disputes directly with the payment provider. In case of disputes between the User and payment institutions, Wishew will offer support to facilitate communication but will not be responsible for negative outcomes, refusal decisions, or timelines determined by external providers.

Wishew is currently a startup in a structured growth phase and is committed to evolving its operations in full alignment with applicable financial and regulatory requirements. While Wishew does not hold any financial licenses or authorizations to act as a custodian of third-party funds, all incoming donations are processed via licensed third-party providers. Collected funds are stored in a company bank account that is exclusively used for donation management purposes and separated from the company's operational finances. This account is not a legally regulated segregated account, but it is maintained transparently and in good faith until a fully compliant infrastructure can be implemented. Users acknowledge that Wishew acts as a technical intermediary and does not assume fiduciary or custodial responsibilities over donated funds. Wishew is actively pursuing partnerships with regulated financial institutions in order to provide a licensed and fully compliant fund management experience in the near future.

Wishew monitors published Content to ensure compliance with community guidelines. However, we cannot guarantee preventive control of all Content.

Users may report Content that violates rules via the reporting system available on the Platform.

Wishew may implement the following measures against users violating these Terms:

• Formal warnings and reprimands.
• Removal of Content.
• Temporary or permanent Account suspension and/or deletion.
• Blocking of suspicious withdrawals or transactions.

Decisions made by Wishew regarding moderation are final and not subject to appeal.

Wishew and its affiliates adopt advanced security measures to protect Users' Personal Data from unauthorized access, accidental loss, theft, and misuse. These measures include:

• Encryption and secure transmissions: We use encryption protocols and secure connections to protect data during transfer.
• Protected storage: Personal Data is stored on servers secured with physical and technical security measures.
• Restricted access: Only authorized personnel, who have received appropriate training, may access User Personal Data.
• Regular review of security procedures: We conduct periodic checks to ensure compliance with Data Protection Legislation and continually enhance our security.

Wishew and its affiliates are committed to complying with all applicable Data Protection Legislation and will promptly address any User requests regarding modification, deletion, or consultation of their Personal Data. Wishew collects and uses Personal Data according to its Privacy Policy.

Wishew uses automated systems to:

• Analyze content and moderate the Platform.
• Suggest personalized content to Users.
• Enhance User experience on the Platform.

Despite the use of advanced technologies, decisions made by AI may not always be perfect. Wishew is not responsible for errors made by automated moderation.

Wishew is provided "as is" and "as available," without any explicit or implied warranties regarding:

• Uninterrupted operation → We cannot guarantee that the Platform will always be available or free from interruptions.
• Absolute security → While we implement advanced protective measures, we cannot guarantee total protection from vulnerabilities, unauthorized access, or cyber-attacks, including viruses, malware, or other cybersecurity threats.
• Error-free operation → The Platform may contain bugs, temporary malfunctions, or technical issues that could affect the User's experience.

The User acknowledges that use of the Platform is at their own risk, without any warranty of results, performance, or suitability for specific needs. Wishew does not guarantee or endorse any third-party products, services, or content published on the Platform or through external links.

To the fullest extent permitted by law, Wishew and its affiliates exclude all liability for:

• Economic losses → Including loss of profits, opportunities, or financial damages resulting from use of the Platform.
• Fraudulent or illegal actions by other Users → Wishew is not responsible for misconduct, scams, or abuse committed by Users of the Platform.
• Service interruptions or technical errors → Including malfunctions, bugs, delayed payments, data loss, or technical issues affecting the User's experience.
• Content published by Users → Wishew is not responsible for the quality, accuracy, or truthfulness of Content shared by Creators or other Users.
• Use of third-party services → Wishew is not responsible for damages arising from external services, hyperlinks, advertisements, or third-party payment platforms linked to the Platform.

Nothing in this Section 10.2 shall exclude or limit Wishew's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

The User acknowledges that Wishew's liability, if applicable, shall never exceed the total amount of any Fees retained by Wishew from funds raised by the User within the 12 months preceding the relevant event in connection with which any liability has arisen.

Wishew and its affiliates reserve the right to suspend, limit, or discontinue access to the Platform or certain services, fully or partially, at any time and without notice, under the following circumstances:

• Required routine or emergency maintenance of the Platform.
• Security updates or implementation of new features.
• Unexpected technical issues or system failures.
• Violation by the User of these Terms or applicable laws.
• Emergency situations, security threats, or legal requests from competent authorities.

Wishew will not be liable for any damages, data loss, or interruptions resulting from such suspensions. The User agrees that Wishew may implement these measures to ensure the Platform's security and proper functioning.

These Terms and any dispute arising out of or in connection with your use of the Services are governed by the laws of England & Wales subject to any more favorable public policy provisions under your local law.

Subject to the remainder of this Section 11.2, the courts of England & Wales have exclusive jurisdiction, except to the extent that public policy provision under your local law allows for the competence of your local courts.

• Users In The European Union, Norway, Iceland Or Liechtenstein: You have the right to submit all unresolved disputes between you and Wishew to the Online Dispute Resolution platform (ODR) administered by the European Union:https://ec.europa.eu/consumers/odr/main/?event=main.home.howitworks, except that either party may seek injunctive relief for infringement of intellectual property rights or other proprietary rights in court, and claims under the EU or UK GDPR may be resolved locally in court or by referral to a competent privacy regulator.
• Disputes With Other Users: You agree that you are solely responsible for your interactions with any other User in connection with the Platform and neither Wishew nor its affiliates will have any liability or responsibility with respect thereto. Wishew and its affiliates reserve the right, but have no obligation, to become involved in any way with disputes between you and any other User of the Services.

12.1 Updates to Terms: Wishew may periodically update these Terms from time to time. Changes become effective upon publication.

12.2 Acceptance of Changes: The User hereby agrees that its continued use of the Platform after changes to the Terms become effective constitutes implicit acceptance of the updated Terms.

12.3 English Version Prevails: Wishew may make a version of these Terms available in additional languages. These additional languages are provided for convenience only and in the event of discrepancies or conflicts, the English version of these Terms shall prevail.

13.1 Intellectual Property Rights

All content provided on the Platform, excluding User-generated Content, including but not limited to text, graphics, logos, images, software, design, layout, look, appearance, and underlying source code, is the exclusive property of Wishew, its affiliates, or their licensors. All Intellectual Property Rights associated with such content, including, without limitation, copyrights, trademarks, service marks, patents, and trade secrets, are owned by or licensed exclusively to Wishew and its affiliates.

13.2 Unauthorized Use

You agree not to reproduce, copy, modify, distribute, publish, display, perform, transmit, license, create derivative works from, transfer, or sell any information or content obtained from or through the Platform, or otherwise use, exploit, or benefit from any of Wishew's Intellectual Property Rights without the prior express written consent of Wishew.

Any unauthorized use of Wishew's Intellectual Property Rights will be considered a violation of those rights and may result in legal consequences.

13.3 Trademark Protection

Wishew's Intellectual Property Rights, including, without limitation, its name, logo, and all associated trademarks and distinctive signs are protected. Unauthorized use of such rights by the User is prohibited and may lead to legal action.

13.4 Enforcement

Wishew and its affiliates reserve the right to take immediate legal actions against violations of these Terms, including, without limitation, the following actions:

• Suspension or banning of the offending User's Account.
• Immediate removal of unlawful Content.
• Initiating legal proceedings to enforce Wishew's Intellectual Property Rights.

Wishew is committed to protecting its Intellectual Property Rights in all applicable jurisdictions.

14.1 Entire Agreement: These Terms constitute the entire agreement between the User and Wishew.

14.2 Severability: If any provision of these Terms is deemed invalid, the remaining provisions remain fully effective.
